Abstract

State-owned enterprises represent, even after nearly fifteen years of privatization, a significant part of various countries´ economies. Nevertheless, there are some aspects, such as their efficiency, ability to achieve objectives and political use, which have not been addressed. This article discusses how specific aspects of corporate governance can be applied to state enterprises. Based on the Brazilian experience, the article explores possibilities and limitations of corporate governance characteristics in order to stimulate a dialogue in Latin American countries on this topic. The analysis focuses on the role played by the Governing Council, a body responsible for conducting the interaction between government and enterprise, whose effectiveness of action plays a key role in good governance.
